CONTRACT AND TITLE Immediately upon conclusion of the auction, the high bidder(s) (hereafter “Buyer(s)”) will enter into negotiations with Seller for either (1) a purchase agreement to acquire 100% of the ownership units of Paraguay Partners, SA (“PPSA”), a Paraguayan Sociedad Anonima owned by Seller which holds title to the farm real estate displayed in this advertisement and all permits required by Paraguayan law for operation of a farming business on the farm real estate; or (2) a real estate contract with PPSA to acquire only the farm real estate displayed in this advertisement, and not the ownership units of PPSA and the existing permits required by Paraguayan law for operation of a farming business on the farm real estate. After the auction, Buyer(s) shall negotiate directly with Seller to determine which purchase structure is mutually agreeable to Buyer(s) and Seller. Seller shall provide all documentation of ownership and transferability of either the units of PPSA or the farm real estate to Buyer(s) at Seller’s own expense. Buyer and Seller shall be separately responsible for completing the sale of the ownership units of PPSA or sale of the farm real estate, as the case may be, in accordance with any applicable laws of the United States and any state or local government thereof, as well as in accordance with the applicable laws of the Republic of Paraguay and any Department or local government thereof. Neither Seller nor Buyer(s) shall rely upon DreamDirt Farm and Ranch Real Estate LLC (hereafter “Auctioneer”) to ensure compliance with any laws applicable to this transaction. Auctioneer and its representatives are agents of the Seller for purposes of conducting the auction only. All handling of deposits, documentation of the sale transaction, closing of the sale, and any other actions necessary to complete the purchase of the ownership units of PPSA or the farm real estate shall be the separate responsibility of Buyer(s) and Seller.
